This Publication Agreement (“Agreement”) regarding a written work (“Article”) by the Author or Authors (“Author(s)”) made between:
The Board of Governors of Grant MacEwan University (“MacEwan”)
and
(“Author(s)”) (Collectively referred to as the “Parties”)
WHEREAS:
1. Asia Pacific and Globalization Review ("APGR”) is an on-line journal published by the Institute of Asia Pacific Studies of Grant MacEwan University School of Business (“IAPS.”)
2. APGR consists of an electronic version available on the APGR website, a searchable electronic database available on the APGR website, abstracts, offprints and translations;
3. APGR obtains and owns copyright on all of its contents;
4. APGR seeks to clarify the rights of contributing authors and APGR and thus insure the protection of both, and as a result, APGR requires that authors formally assign all rights in the Article to APGR before an article is published; and
5. In consideration of the fact that APGR undertakes to publish an Article (including the abstract) by Author(s) in an issue of Asia-Pacific and Globalization Review, MacEwan and Author(s) agree to the terms and conditions of this Agreement.
MACEWAN AND AUTHOR AGREE AS FOLLOWS:
1. Author(s)’s Warranties
a) Author(s) represent and warrant that Author(s) own and have not assigned elsewhere all rights to the Article.
b) Author(s) represent and warrant that the Article is original and that Author(s) have obtained written permission to use any previously copyrighted material that may be included in the Article and that falls outside accepted conventions of fair use (fair dealing).
c) Author(s) represent and warrant that the Article has not been previously published, in whole or in part, other than as a working paper made available at a workshop or conference.
2. Assignment of copyright
a) The Author(s) hereby assign and transfer to APGR all rights in and to the Article, including the worldwide copyright, translation rights, and the right to grant permission to reprint the Article.
b) Without limiting the generality of clause 2 a), APGR may use the Article in any future publication under its auspices in any form whatever (including print and electronic media), and by any technology now known or hereafter developed, subject to those rights granted in this Agreement.
3. Editing
APGR reserves the right to make minor cuts and edits to the Article without consultation.
4. Author(s)’s right to republish
The publication of the Article in no way limits Author(s)'s ability to copy, distribute, and reprint the Article after the Article has been published by APGR. Author(s) promise, however, not to cause the Article to be published by others until the APGR publishes the Article. Any subsequent publication should include an acknowledgment of APGR and provide a link to the APGR website.
5. Reprints
APGR undertakes to notify Author(s) of requests to reprint the article wherever possible with the exception of requests from educational institutions for copies for classroom use. It is Author(s)’s responsibility to inform APGR of any address changes.
6. Termination
APGR reserves the right to revoke this agreement unilaterally if the Article is found to contain plagiarized materials or for breach of any of Author (s)’s warranties.
7. Indemnification
Author(s) agree to indemnify and hold harmless the APGR, its editors and staff, their licensees and distributees, from any and all claims, demands, actions, proceedings and costs whatsoever arising from a breach of any of Author(s)’s warranties.
8. No payment
a) Author(s) agrees and acknowledges that the Author will receive no payment from APGR for use of the Article or for the rights granted in this agreement. Upon publication, Author(s) will be provided at no charge with a pdf copy of the Article as it appears in the APGR.
b) APGR agrees and acknowledges that APGR will not receive any payment from Author(s) for publication by APGR, nor shall any payment be due APGR should Author(s) properly exercise any of the rights in Section 4 of this Agreement.
9. Term
This Agreement shall remain in effect for so long as copyright protection subsists in the Article.
10. Severability
In the event any one or more of the provisions of this Agreement shall for any reason be held to be invalid, illegal or unenforceable, the remaining provisions of this Agreement shall be unimpaired in such a manner that the original intent of the parties as set out in this Agreement is preserved to the greatest extent possible.
11. Entire Agreement
This Agreement supersedes any and all other agreements either oral or in writing, between Author(s) and APGR with respect to the subject of this Agreement. This Agreement contains all of the warranties and agreements between the parties with respect o the Article, and each party acknowledges that no representations, inducements, promises, or agreements have been made by or on behalf of any party except those warranties and agreements embodied in this Agreement. No agreement, statement, or promise not contained in this Agreement shall be valid or binding.
12. Notice
a) All notices to MacEwan shall be in writing at the addresses below, and to the Author(s) at the address (es) as the Author(s) shall advise.
b) If delivered, the notice shall be deemed received on the date of delivery. If sent by facsimile, the notice shall be deemed to be received on the next business day, provided there is a transmittal verification statement. If sent electronically, it shall be deemed received on the date receipt is acknowledged by the recipient. If sent by mail, the notice shall be deemed to be received within five (5) business days of the mailing date, except that where there is a disruption in the ordinary post, the notice shall be delivered or sent by facsimile.

13. Freedom of Information and Protection of Privacy
All information provided by either party may be subject to the Freedom of Information and Protection of Privacy Act (Alberta) as well as other privacy legislation.
14. Governing Law
This Agreement shall be governed by the laws of Alberta without reference to its conflict of laws rules.
